Terms and Conditions

1. General Information

These terms and conditions govern the commercial relationship between ALCAVIL S.A. de C.V. (hereinafter "ALCAVIL") and its customers for the purchase of resistance welding electrodes, RWMA materials, and related services.

By placing an order or requesting a quote, the customer accepts these terms and conditions in full.

2. Products and Specifications

ALCAVIL manufactures electrodes and components for resistance welding based on RWMA/AWS J1.3 standards. Products include:

• Spot welding electrodes
• Projection welding electrodes
• Seam welding wheels and discs
• Insert electrodes with tungsten or molybdenum
• Raw materials: bars, plates, and strips of copper alloys

Technical specifications, tolerances, and materials are indicated in each quotation. Any special requirements must be agreed upon in writing before manufacturing.

3. Quotations and Orders

3.1 Quotation Validity

Quotations are valid for 15 calendar days from their issue date, unless otherwise indicated. Prices are subject to change without notice after this period.

3.2 Order Confirmation

Orders are considered confirmed when:

• The customer sends a written purchase order (email, fax, or EDI system)
• The agreed deposit is received (if applicable)
• ALCAVIL confirms availability and delivery time

3.3 Modifications and Cancellations

Modifications to confirmed orders are subject to evaluation. Custom or made-to-order products cannot be canceled once production has begun.

4. Prices and Payment Terms

4.1 Prices

Prices are quoted in Mexican Pesos (MXN) or US Dollars (USD), as indicated. Prices do not include VAT (IVA), which will be added according to current legislation.

4.2 Payment Conditions

Payment conditions are established in each quotation and may include:

• Cash: Full payment before shipment
• Credit: Subject to approval and credit line establishment
• Deposits: For special or high-value orders

4.3 Late Payments

Overdue payments will accrue interest at the prevailing legal rate. ALCAVIL reserves the right to suspend pending deliveries in case of overdue accounts.

5. Delivery and Shipping

5.1 Delivery Times

Delivery times are indicated in each quotation and begin from:

• Order confirmation
• Receipt of deposit (if applicable)
• Approval of drawings or specifications (if applicable)

Times are estimates and may vary based on material availability and workload.

5.2 Shipping Terms

Unless otherwise agreed, shipments are made:

• FOB Monterrey: Customer assumes freight and insurance
• Freight collect: Customer pays carrier directly
• Freight included: Only when specified in the quotation

5.3 Receipt of Goods

The customer must inspect merchandise upon delivery. Any visible damage must be reported immediately to the carrier and to ALCAVIL within 24 hours.

6. Warranty

6.1 Scope

ALCAVIL warrants that its products:

• Meet the specifications agreed upon in the quotation
• Are manufactured with materials conforming to RWMA/AWS standards
• Are free from manufacturing defects

6.2 Exclusions

The warranty does not cover:

• Normal wear from use
• Damage from improper use or use outside specifications
• Modifications made by third parties
• Damage from improper storage

6.3 Claim Procedure

Warranty claims must be submitted in writing within 30 days of receipt, including a description of the problem and photographic evidence.

7. Limitation of Liability

ALCAVIL's liability is limited to the value of the defective product. In no event shall ALCAVIL be liable for:

• Indirect, consequential damages, or loss of production
• Damage to customer equipment or materials
• Loss of profits or contracts

8. Intellectual Property

Designs, drawings, and specifications provided by ALCAVIL are the exclusive property of ALCAVIL and may not be reproduced, distributed, or used for manufacturing by third parties without written authorization.

9. Confidentiality

Both parties agree to maintain the confidentiality of technical and commercial information exchanged during the business relationship.

10. Dispute Resolution

Any dispute arising from these terms shall be resolved:

• First, through direct negotiation between the parties
• If no agreement is reached, before the competent courts of Monterrey, Nuevo León, Mexico

The applicable law shall be that of the United Mexican States.

11. Modifications

ALCAVIL reserves the right to modify these terms and conditions. The current version will always be available on this website.
